1. Acceptance of Terms

By accessing or using reqspace.ai ("the Service"), operated by ReqSpace Technologies Inc. ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). These Terms apply to all users of the Service, including recruiters, employers, hiring managers, job seekers, candidates, and any other visitors or users.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

reqspace.ai provides a suite of AI-powered recruiting and career tools, including:

2.1 Recruiter Platform (ATS)

An applicant tracking system for recruiters and employers that includes job management, candidate pipeline management, AI-powered candidate sourcing, AI screening interviews, email campaigns and outreach sequences, interview scheduling with calendar integrations, offer management, hiring analytics and SLA tracking, career page hosting, Chrome browser extension, and hiring manager portals.

2.2 Job Seeker Portal

A career toolkit for job seekers that includes AI-powered job matching and scoring, job search across multiple platforms, resume building and optimization, cover letter generation, interview preparation tools, company and market research, job application tracking, automated job application submission ("Auto-Apply"), networking contact management, AI job search agents, and military-to-civilian career translation (MOS Translator).

2.3 Public-Facing Features

Publicly accessible features include company career pages, AI screening interviews for candidates, interview scheduling links, offer acceptance workflows, and candidate surveys.

3. User Accounts and Registration

  • You must provide accurate, current, and complete information when creating an account
  • You are responsible for maintaining the confidentiality and security of your account credentials
  • You must notify us immediately of any unauthorized access to or use of your account
  • You may not share your account credentials or allow multiple individuals to access a single account
  • You are responsible for all activity that occurs under your account, whether or not authorized by you
  • We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are inactive for an extended period
  • When connecting third-party accounts (such as Gmail, Outlook, Google Calendar, or Zoom) through OAuth, you authorize us to access those services on your behalf to provide the features you have enabled

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Upload or transmit viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to our systems, other users' accounts, or third-party services accessed through the platform
  • Use the Service to discriminate against candidates or job seekers based on protected characteristics including race, gender, age, religion, national origin, disability, or sexual orientation
  • Scrape, harvest, or extract data from the Service without written authorization
  • Interfere with or disrupt the integrity, performance, or availability of the Service
  • Use the Auto-Apply or AI Job Agent features to submit fraudulent, misleading, or spam applications
  • Upload false, misleading, or fabricated resumes, credentials, or professional information
  • Use the email campaign or outreach features to send unsolicited spam or violate CAN-SPAM, GDPR, or other applicable email regulations
  • Use AI-generated content (resumes, cover letters, screening responses) in a manner that misrepresents your qualifications or identity
  • Impersonate another person, organization, or entity through the Service
  • Reverse engineer, decompile, or attempt to extract the source code of the Service or its AI models
  • Use the Service to build a competing product or for competitive benchmarking
  • Circumvent usage limits, trial restrictions, or feature gates through technical means
  • Share, resell, or sublicense your access to the Service to unauthorized third parties

5. Subscription, Payment, and Credits

5.1 Recruiter Plans

The Recruiter Platform offers subscription plans billed per recruiter seat on a monthly basis. Hiring manager seats are free and provide read-only access to assigned jobs. You authorize us to charge your payment method for the applicable subscription fees. Seat counts and plan limits are enforced automatically.

5.2 Job Seeker Plans

The Job Seeker Portal offers subscription plans billed monthly. Certain features (including Resume Builder, Auto-Apply, Networking Tracker, and AI Job Agent) are available only on paid plans or require additional credits.

5.3 Free Trials

We offer a 7-day free trial with limited access to features and usage caps. No credit card is required to start a trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. Your trial account and any data associated with it may be deleted if you do not subscribe within a reasonable period after the trial expires.

5.4 Usage Credits

Certain features consume usage credits (including AI sourcing searches, email finder lookups, research reports, and AI-generated content). Credits are tracked per billing period and may be subject to limits based on your plan. Additional credit packs may be purchased separately. Unused credits do not roll over between billing periods unless otherwise specified.

5.5 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods, unused credits, or unused time within a billing cycle. Upon cancellation, you retain access through the end of the paid period, after which your account will revert to a limited or inactive state.

6. AI-Powered Features and Automated Services

6.1 AI Content Generation

The Service uses artificial intelligence (powered by third-party large language models) to generate content including but not limited to: candidate scoring and evaluations, job descriptions, email templates, resumes, cover letters, interview questions, screening assessments, company research reports, and career recommendations. All AI-generated content is provided as a starting point and must be reviewed by you before use. We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular purpose.

6.2 AI Screening and Assessment

The Service offers AI-powered candidate screening, including automated interview evaluations and candidate scoring. These AI assessments are tools to assist human decision-making and should not be the sole basis for any employment decision. Recruiters and employers remain solely responsible for all hiring decisions and for compliance with applicable employment laws, including equal opportunity requirements.

6.3 Automated Job Applications (Auto-Apply)

The Auto-Apply feature submits job applications on your behalf using AI-generated or user-provided materials. By enabling Auto-Apply, you acknowledge and agree that: (a) applications are submitted in your name and you are solely responsible for their content and accuracy; (b) we do not guarantee that applications will be successfully delivered, received, or reviewed by employers; (c) we are not responsible for any consequences arising from automated applications, including rejection, blacklisting, or other adverse actions by employers; (d) you must review the accuracy of generated application materials before enabling auto-submission; (e) daily submission limits and platform restrictions apply and may change without notice; and (f) submitting applications through the Service does not create an employment relationship, and you are solely responsible for the accuracy of all information submitted on your behalf.

6.4 AI Job Agents

AI Job Agent features autonomously search for job opportunities based on your configured preferences. We do not guarantee the completeness, accuracy, or timeliness of job discoveries. Job listings are sourced from third-party platforms and may be outdated, filled, or inaccurate.

6.5 Third-Party Data and Sourcing

Our sourcing and research features access publicly available professional data from third-party providers. This data may not always be current, complete, or accurate. You are responsible for verifying all information before making hiring decisions, sending outreach, or relying on it for career decisions. We make no representations regarding the accuracy of third-party data.

6.6 Compensation Data

Compensation data provided through the Service, including salary benchmarking and market research features, is for informational purposes only and does not constitute financial advice or a guarantee of compensation. Salary estimates are derived from publicly available market data and may not reflect actual compensation for any specific role, employer, or location.

7. Email, Communication, and Calendar Features

7.1 Email Campaigns and Outreach

The Service provides email campaign and outreach tools. You are solely responsible for ensuring that your use of these features complies with all applicable laws, including the CAN-SPAM Act, GDPR, CASL, and other anti-spam regulations. You must have a lawful basis for contacting each recipient, honor opt-out and unsubscribe requests promptly, and include accurate sender information in all communications.

7.2 Email Tracking

Emails sent through the Service may include open and click tracking technology. You are responsible for disclosing this tracking to recipients where required by applicable law. We provide this functionality as a tool and you assume all responsibility for its lawful use.

7.3 Calendar and Scheduling Integrations

By connecting Google Calendar, Outlook Calendar, or Zoom, you authorize us to read your availability, create and manage calendar events, and schedule meetings on your behalf. We access only the minimum data necessary to provide scheduling functionality. You may revoke calendar access at any time through your integration settings or through your calendar provider's settings.

7.4 Email Integration (Gmail and Outlook)

By connecting your Gmail or Outlook account, you authorize us to send emails on your behalf and sync relevant communications. We do not read, store, or process the contents of your entire inbox. Email integration access is limited to the specific functionality you have enabled and can be revoked at any time.

8. User Content and Data Ownership

8.1 Your Content

You retain ownership of all data, content, and materials you upload to or create through the Service, including job postings, candidate records, resumes, cover letters, email templates, notes, and other user-generated content. By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, process, store, and display your content solely to provide, maintain, and improve the Service.

8.2 Candidate and Applicant Data

Recruiters and employers who upload or input candidate data into the Service are the data controllers for that data and are solely responsible for ensuring they have a lawful basis for collecting, processing, and storing candidate personal information. You must comply with all applicable data protection and privacy laws when using the Service to manage candidate data.

8.3 Job Seeker Data

Job seekers who upload resumes, professional information, or other personal data retain ownership of that data. We process your data to provide the Service features you use (job matching, resume building, etc.) and as described in our Privacy Policy. Your resume and profile data may be parsed by AI to extract skills, experience, and other structured information for use within the Service.

8.4 Feedback and Suggestions

Any feedback, suggestions, or ideas you provide to us about the Service may be used by us without restriction or obligation to you.

9. Intellectual Property

The Service and its original content, features, functionality, design, algorithms, AI models, and underlying technology are owned by ReqSpace Technologies Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks, service marks, and logos may not be used without our prior written consent.

Nothing in these Terms grants you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

10. Third-Party Integrations and Services

The Service integrates with third-party platforms and services including but not limited to: email providers, calendar and scheduling services, video conferencing platforms, team communication tools, payment processing providers, authentication and identity management providers, and various data enrichment and job board providers. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service.

We may add, modify, or remove integrations at any time. We do not guarantee the continued availability of any specific integration.

11. Career Pages and Public Content

If you use the Service to host a career page, you are solely responsible for the content published on that page, including job descriptions, company information, and branding. You represent and warrant that all career page content is accurate, lawful, and does not infringe the rights of any third party. We reserve the right to remove career page content that violates these Terms or applicable law.

12. Browser Extensions

12.1 General

reqspace.ai offers browser extensions for both recruiters and job seekers. All extensions are subject to these Terms. Extensions only collect data when actively invoked by you and do not passively monitor your browsing activity.

12.2 Recruiter Extension

The recruiter extension enables candidate sourcing from professional networking pages. You are responsible for ensuring your use of the extension complies with the terms of service of the websites you access and all applicable laws, including data protection regulations governing the collection of professional profile data.

12.3 Job Seeker Extension

The job seeker extension processes job posting content on supported job boards to enable features such as job saving, match scoring, salary lookup, and application assistance. You are responsible for ensuring your use of the extension complies with the terms of service of the job boards and websites you access.

12.4 Acceptable Use of Extensions

You agree not to: (a) reverse engineer, decompile, or attempt to extract the source code of any extension; (b) use extensions in any manner that violates the terms of service of any website or platform you access; (c) use extensions to collect data for purposes other than those intended by the Service; (d) distribute, sublicense, or make extensions available to unauthorized third parties; or (e) modify, adapt, or create derivative works based on the extensions.

13. Beta Features and Experimental Services

We may offer certain features in beta, preview, or experimental status (indicated by labels such as "Beta", "New", or "Preview"). These features are provided "as is" without any warranties and may be modified, suspended, or discontinued at any time without notice. Beta features may contain bugs, errors, or inaccuracies, and we are not liable for any issues arising from their use.

14. Service Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted, error-free, or secure access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, update, or discontinue any feature or aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that materially affect your use of the Service.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REQSPACE TECHNOLOGIES INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, RESULTING FROM:

  • YOUR USE OF OR INABILITY TO USE THE SERVICE
  • ANY AI-GENERATED CONTENT, SCORES, ASSESSMENTS, OR RECOMMENDATIONS
  • ANY HIRING OR EMPLOYMENT DECISIONS MADE USING THE SERVICE
  • ANY AUTOMATED ACTIONS PERFORMED BY THE SERVICE ON YOUR BEHALF, INCLUDING AUTO-APPLY SUBMISSIONS
  • THIRD-PARTY DATA INACCURACIES OR UNAVAILABILITY
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
  • ACTIONS OR OMISSIONS OF THIRD-PARTY INTEGRATIONS
  • ANY OTHER MATTER RELATING TO THE SERVICE

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD).

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (C) AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR FREE FROM BIAS; (D) CANDIDATE SCORES OR ASSESSMENTS WILL ACCURATELY REFLECT CANDIDATE QUALIFICATIONS; (E) JOB RECOMMENDATIONS OR MATCHES WILL RESULT IN EMPLOYMENT; (F) EMAIL CAMPAIGNS WILL BE DELIVERED SUCCESSFULLY; OR (G) THIRD-PARTY DATA WILL BE CURRENT OR ACCURATE.

17. Indemnification

You agree to indemnify, defend, and hold harmless ReqSpace Technologies Inc. and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights, including privacy, intellectual property, or employment rights; (e) any content you upload, post, or transmit through the Service; (f) any hiring or employment decisions you make using the Service; (g) your use of email campaigns, outreach, or Auto-Apply features; or (h) any claims by candidates, applicants, or employers arising from your use of the Service.

18. Dispute Resolution and Arbitration

18.1 Informal Resolution

Before filing any formal dispute, you agree to first contact us at legal@reqspace.ai and attempt to resolve the dispute informally for at least thirty (30) days.

18.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Delaware. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

18.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST REQSPACE TECHNOLOGIES INC.

18.4 Exceptions

Nothing in this section shall prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction for claims related to intellectual property infringement, unauthorized access, or data breaches.

19. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination: (a) your right to use the Service immediately ceases; (b) we may delete your account and associated data after a reasonable retention period; (c) any outstanding fees remain due and payable; and (d) provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, limitation of liability, indemnification, and dispute resolution provisions.

You may request a copy of your data before or within thirty (30) days after account termination by contacting support@reqspace.ai.

20. Employment Law Compliance

The Service is a tool to assist with recruiting and job seeking activities. It is not a substitute for legal advice or compliance programs. Recruiters and employers are solely responsible for ensuring their hiring practices comply with all applicable employment laws and regulations, including but not limited to Title VII of the Civil Rights Act, the Americans with Disabilities Act (ADA), the Age Discrimination in Employment Act (ADEA), the Fair Credit Reporting Act (FCRA), and all applicable state and local employment laws. We do not provide legal advice and make no representations that use of the Service ensures compliance with any law.

21. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website, updating the "Last updated" date, and, where practicable, sending you an email notification. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

22. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent that arbitration does not apply, any legal action or proceeding shall be brought exclusively in the state or federal courts located in Delaware.

23. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect
  • Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction
  • Force Majeure: We shall not be liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, acts of government, pandemics, or third-party service outages
  • Notices: We may send notices to the email address associated with your account. You are responsible for keeping your contact information current
